HOW CAN I REPORT POTENTIAL MISCONDUCT?

MSD encourages its employees, collaborators, suppliers, customers and other stakeholders (“Reporting Persons”) to report, in good faith, any conduct of which they have become aware that may be unethical, illegal, or inconsistent with MSD’s Code of Conduct, its policies or procedures (“Potential Misconduct”). 

How can Potential Misconduct be reported to MSD or one of its subsidiaries?

Potential Misconduct can be reported through either global or local reporting channels established by MSD and its subsidiaries.

Reporting Persons can report any Potential Misconduct using MSD’s global Speak Up tool at msdethics.com. This platform is available 24 hours per day, 7 days per week, and it allows Reporting Persons to report concerns confidentially via phone or internet. Concerns reported through the global Speak Up tool at msdethics.com will be assessed by MSD to determine whether they warrant investigation by a global or a locally based investigator.

In addition to the global Speak Up tool, MSD established a local reporting channel to detect misconducts in accordance with Act No. 171/2023 Sb., on the Protection of Whistleblowers (the “Act”). Through the local reporting channel, employees of the respective MSD subsidiary (including job applicants and former employees and volunteer workers, trainees, interns and other persons carrying out work for the respective MSD subsidiary) may submit a report. In accordance with the Act, MSD shall not accept reports through the local reporting channel from other persons who do not perform work or other similar activities for the respective MSD subsidiary as referred to in Section 2(3)(a), (b), (h) or (i) of the Act.

In addition, the Reporting Person may always request a face-to-face meeting through each of these local reporting channels if they wish to make the report in person.

In all cases in which the Potential Misconduct is reported to MSD or one of its subsidiaries, the identity of the Reporting Person, the author of the Potential Misconduct, facilitator, any other person mentioned in the report, and the content of the report will be treated confidentially, as required by local law and in accordance with MSD’s Privacy Policy available here https://www.msdprivacy.com/.

How to report externally?

The reporting person may report unlawful conduct as defined in the Act directly to the Ministry of Justice of the Czech Republic in writing, orally or in person. For more information, please visit https://oznamovatel.justice.cz/.
